Terms of Service

Welcome to Waltz Security, a division of Waltz Business Solutions ("Company," "we," "us," or "our"). By accessing or using our website, services, or engaging with us for security consultation, system design, installation, or support services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time. Your continued use of our services following any changes constitutes acceptance of those changes.

Waltz Security provides physical security solutions including, but not limited to:

• Security consultation and system design services for commercial, educational, healthcare, government, and residential facilities
• Sale, installation, and configuration of Verkada security products including video surveillance cameras, access control systems, intrusion alarms, environmental sensors, intercoms, and guest management systems
• Professional installation services including mounting, cabling, network configuration, and system integration
• Training and onboarding for security platform administration and daily operations
• Ongoing technical support, maintenance, and system optimization services

The specific scope of services provided to you will be detailed in a separate proposal, statement of work, or service agreement.

To ensure successful delivery of our services, you agree to:

• Provide accurate and complete information about your facility, security requirements, and existing infrastructure
• Ensure appropriate access to installation sites and necessary permissions for work to be performed
• Maintain adequate network infrastructure and bandwidth to support cloud-based security systems
• Designate authorized personnel for system administration and decision-making
• Use the security systems and services in compliance with all applicable laws and regulations
• Promptly notify us of any issues, concerns, or changes in requirements

All intellectual property rights related to the services we provide remain the property of their respective owners:

• Verkada Products: Verkada, Inc. retains all intellectual property rights in their hardware, software, and platform. Use of Verkada products is subject to Verkada's terms of service and license agreements.
• Waltz Security Materials: System designs, proposals, documentation, and proprietary methodologies created by Waltz Security remain our intellectual property unless explicitly transferred in writing.
• Client Data: You retain ownership of all video footage, access logs, and other data generated by your security systems. We do not claim any rights to your data.

You agree not to reverse engineer, copy, modify, or create derivative works from any proprietary materials without express written permission.

Payment terms for products and services will be specified in your proposal or service agreement. Unless otherwise stated:

• Equipment purchases require payment prior to ordering or per terms specified in the proposal
• Installation services may require a deposit with balance due upon completion
• Ongoing support and maintenance services are billed according to the agreed schedule
• Late payments may be subject to service suspension and applicable late fees

All prices are in U.S. dollars and do not include applicable taxes unless explicitly stated.

Product Warranties: Verkada products are covered by Verkada's manufacturer warranty, which includes up to 10 years of coverage depending on the product and license terms. Warranty claims are processed through Verkada directly or with our assistance.

Installation Warranty: Waltz Security warrants our installation workmanship for a period of one (1) year from the date of project completion. This covers defects in installation, mounting, and cabling performed by our technicians.

Disclaimer: EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT SECURITY SYSTEMS WILL PREVENT ALL LOSSES, INTRUSIONS, OR INCIDENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WALTZ SECURITY, WALTZ BUSINESS SOLUTIONS, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
• Any damages arising from theft, intrusion, vandalism, or other criminal acts, regardless of whether security systems were operational
• System failures, interruptions, or malfunctions caused by factors outside our reasonable control, including but not limited to power outages, network failures, or acts of nature
• Any damages resulting from your failure to maintain adequate security practices, passwords, or system access controls

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Waltz Security, Waltz Business Solutions, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services or security systems
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim by a third party related to your use of security footage or data

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you acknowledge:

• Security systems may collect video footage, access logs, and other data that may include personal information
• You are responsible for complying with all applicable privacy laws regarding the collection and use of such data at your facility
• Verkada's cloud platform stores and processes security data according to Verkada's privacy policy and security practices
• We may access your systems for support, maintenance, or troubleshooting purposes with your authorization

Either party may terminate the service relationship according to the terms specified in the applicable service agreement. Upon termination:

• All amounts owed for services rendered become immediately due and payable
• Your access to our support services will cease unless otherwise agreed
• Installed equipment remains your property (if purchased) subject to any applicable liens
• Verkada platform access is governed by your separate agreement with Verkada

Sections regarding intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the state or federal courts located in Ohio, and you consent to the exclusive jurisdiction of such courts.

Neither party shall be liable for any failure or delay in performing their obligations under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, supply chain disruptions, or power outages.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

These Terms, together with any applicable proposals, statements of work, or service agreements, constitute the entire agreement between you and Waltz Security regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
